A clear, plain-English agreement between you and Hostbala governing your managed SaaS platform subscription.

These Terms of Service ("Terms") form a legally binding agreement between you ("Subscriber", "Client", or "you") and Hostbala LLC. By creating an account at portal.hostbala.com or subscribing to any Hostbala managed SaaS plan, you agree to these Terms.

Our services include fully managed, industry-specific software platforms for Ecommerce, Healthcare, Schools & Education, Booking & Appointments, Business & Corporate, and Restaurant operations — delivered as a low monthly or annual subscription.

Acceptance of Terms

By accessing our website, creating a portal account, or subscribing to any Hostbala plan, you confirm you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If acting on behalf of a business, you represent you have authority to bind that entity.

Continued use of our platform after any revision constitutes acceptance of the updated Terms.

Our Managed SaaS Platform

Hostbala provides fully managed, industry-specific SaaS platforms on a subscription basis. Instead of a one-time custom development fee ($10,000–$50,000+), your subscription covers the build, hosting, maintenance, updates, and support of your entire platform.

Industry-specific platform setup and configuration
Secure managed cloud hosting — we handle all infrastructure
Ongoing maintenance, security patches, and performance monitoring
Regular feature updates and platform improvements
Technical support via your client portal
Platform launch within the agreed onboarding window (typically 14 days)

Specific features are defined by your selected plan at portal.hostbala.com.

Subscriptions, Billing & Payments

All subscriptions are managed at portal.hostbala.com.

Billing Cycle

Monthly or annually per your selected plan. Billing begins on the subscription activation date.

Auto-Renewal

Subscriptions auto-renew at period end unless cancelled before the renewal date.

Payments

Processed via PCI-compliant processor. Hostbala never stores your full card details.

Failed Payments

We retry failed charges and notify you by email. Continued non-payment may suspend service.

Price Changes

At least 30 days' notice before any price increase. Continued use = acceptance.

Taxes

Prices may exclude taxes applicable to your jurisdiction. You are responsible for those taxes.

All fees are non-refundable except as stated in Section 04 below.

Cancellation & Refunds

You may cancel your subscription at any time via the client portal.

On cancellation: Your platform stays active until the end of the current billing period. No further charges after cancellation.
No partial refunds: We do not refund unused portions of a billing period, unless required by law.
7-day window: Cancel within 7 days of initial activation, before platform launch, and open a billing ticket through portal.hostbala.com to request a refund. Assessed case-by-case.
Data after cancellation: Platform and data are decommissioned at period end. Export your data before your subscription ends.
Suspension: Non-payment triggers a suspension (not immediate cancellation), giving you time to resolve the balance first.

Platform Onboarding & Launch Timeline

After subscription activation, Hostbala begins configuring your industry-specific platform. Our target is delivery within 14 calendar days, subject to your timely content submission and approvals.

Client responsibilities: Provide business info, branding assets, and timely approvals. Delays from your side extend the timeline accordingly.
Scope: Initial setup covers features included in your plan. Additional customization beyond plan scope is quoted separately.
Timeline: The 14-day target is our goal, not a contractual guarantee. We communicate any delays proactively.
Prompt completion of your onboarding checklist is the single biggest factor in a fast launch.

Client Portal & Account Security

Your subscription is managed at portal.hostbala.com.

You are responsible for maintaining the confidentiality of your portal credentials and all activity under your account.
Report suspected unauthorized access immediately by opening a support ticket through portal.hostbala.com.
You may not share account access with unauthorized individuals or transfer your subscription without Hostbala's written consent.
Keep your contact and billing information accurate and up-to-date in the portal.

Acceptable Use Policy

You may not use your Hostbala platform or portal for:

Any unlawful, fraudulent, or deceptive activity
Distributing spam, malware, phishing content, or harmful code
Infringing on any third party's intellectual property or privacy rights
Publishing content that is defamatory, obscene, or violates any law
Attempting unauthorized access to Hostbala systems or other clients' data
Reverse engineering, reselling, or sublicensing the platform without written permission
Using the platform in a way that places unreasonable load on our infrastructure

Violations may result in immediate suspension or termination without refund. Illegal activity will be reported to relevant authorities.

Your Data & Content

Ownership: You retain full ownership of all content, data, and information you upload ("Client Content"). You grant Hostbala a limited license to host and display it solely to operate your platform.
Compliance: You are solely responsible for ensuring Client Content and data collected through your platform complies with all applicable laws and data protection regulations for your industry and location.
Backups: We perform regular backups as part of the managed service. We recommend keeping your own copies of critical business data.
Export: Request a data export within 30 days of subscription termination. After that, your data is permanently deleted.

Intellectual Property

Hostbala's IP

The platform infrastructure, codebase, proprietary tools, and templates remain the exclusive property of Hostbala LLC. Your subscription grants a limited, non-exclusive, non-transferable right to use the platform during the active subscription period.

Your IP

Your brand assets, business content, client data, and workflows remain your intellectual property. Hostbala makes no ownership claim over Client Content.

Third-Party Licenses

Our platform may incorporate open-source tools governed by their own licenses, which remain unaffected by this agreement.

Service Availability & Support

Hostbala targets high platform availability but does not guarantee uninterrupted service.

Scheduled maintenance is communicated in advance whenever possible.
Emergency maintenance may occur without notice to address critical security or stability issues.
We are not liable for business losses from platform downtime beyond our reasonable control.
Technical support is provided via your client portal. Response times vary by plan tier.
Target availability: 99.5%

Third-Party Integrations

Your platform may integrate with third-party services such as payment gateways, SMS providers, or analytics tools. These are subject to the respective provider's own terms and privacy policies.

Hostbala is not responsible for the availability, accuracy, or conduct of third-party services.
Third-party service costs (e.g., payment processing fees, SMS credits) are separate from your subscription unless explicitly stated in your plan.
You are responsible for complying with the terms of any third-party services used through your platform.

Promotional Free Website Offer

From time to time, Hostbala may offer a limited-time promotional free website service as part of its marketing activities. This offer is separate from our paid subscriptions, custom development, hosting, domain registration, SEO, support retainers, or other commercial services.

Included scope: A basic brochure-style website, generally around 4 to 5 pages, such as Home, About, Services, Contact, and FAQ if needed, custom-developed to present a business professionally and built to be mobile responsive.
Not included: Domain registration, hosting, business email, premium plugins or paid third-party services, advanced integrations, ecommerce systems, custom web applications, complex booking logic, extensive revisions, or ongoing maintenance unless separately agreed.
Client responsibility: The client is responsible for paying for domain and hosting services. If the client does not secure and maintain these services, Hostbala is not responsible for keeping the free website live.
Offer availability: The free website offer is promotional and limited-time only. Hostbala may change, suspend, restrict, or discontinue the offer at any time, with or without prior notice.
Approval and eligibility: Submission of a request does not guarantee acceptance. Hostbala reserves the right to approve, decline, defer, or cancel any free website request in its sole discretion.
Termination right: Hostbala reserves the right to terminate or withdraw the promotional free website service or related support at any time if the offer is abused, the scope changes materially, required client cooperation is missing, or the promotion is ended.
The free website offer creates no guaranteed right to ongoing free development, hosting, support, upgrades, or future free services.

Termination

By you: Cancel anytime via the portal. Service continues until the end of the current billing period.
By Hostbala (for cause): We may immediately suspend or terminate for material breach, non-payment, illegal activity, or conduct that threatens our platform or other clients. No refund in this case.
Service discontinuation: If Hostbala discontinues a service, we provide at least 60 days' notice and a pro-rated refund for any prepaid unused period.

Upon termination, your platform access ceases immediately. Sections covering payment obligations, IP rights, disclaimers, and liability survive termination.

Disclaimer of Warranties

The Hostbala platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Hostbala expressly disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and uninterrupted or error-free operation.

Limitation of Liability

Hostbala's total cumulative liability for any claims arising from these Terms shall not exceed the total subscription fees you paid in the three (3) months immediately preceding the claim.

Hostbala shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business opportunities — even if advised of the possibility of such damages.

Some jurisdictions limit exclusions of liability. These limitations apply to the fullest extent permitted by law in your jurisdiction.

Indemnification

You agree to indemnify, defend, and hold harmless Hostbala LLC and its officers, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising out of your use of the platform, violation of these Terms, Client Content that infringes third-party rights, or your violation of applicable laws.

Governing Law & Disputes

These Terms are governed by the laws of the State of New Mexico, USA, without regard to conflict of law principles. Disputes shall first be attempted via good-faith negotiation. If unresolved within 30 days, binding arbitration in Albuquerque, New Mexico, under AAA rules applies. Either party may seek injunctive relief in court to prevent irreparable harm.

Changes to These Terms

We may modify these Terms at any time. For material changes we will:

Post the updated Terms at hostbala.com/terms
Email active subscribers at least 14 days before changes take effect
Update the "Last updated" date on this page

Continued use after the effective date constitutes acceptance. Cancel before the effective date if you do not agree.
